Terms of Service

These Terms of Service ("Terms") govern access to and use of the ProjectWorks.ai platform, website, and related services (the "Service") operated by ProjectWorks.ai ("ProjectWorks", "we", "us"). By creating an account or using the Service, you agree to these Terms.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" refers to that entity. Enterprise customers may be subject to a separate order form or Master Services Agreement that prevails in case of conflict.
1. The Service
ProjectWorks.ai provides software for tender-to-execution project management, including AI document generation, scheduling, budgeting, resource planning, health scoring, portfolio views, governance workflows, and related collaboration features. Features and limits depend on your subscription plan (Solo, Team, Agency, or Enterprise).
2. Accounts and access
- You must provide accurate registration information and keep it current.
- You are responsible for safeguarding credentials and all activity under your account.
- Notify us immediately at security@projectworks.ai if you suspect unauthorized access.
- Enterprise administrators may provision users via SSO/SCIM. You are responsible for managing roles and offboarding users in your identity provider.
3. Acceptable use
You agree not to:
- Violate applicable law or third-party rights
- Upload malware, unlawful content, or material you lack rights to use
- Probe, scan, or test vulnerabilities without written authorization
- Circumvent access controls, rate limits, or plan restrictions
- Scrape, resell, or sublicense the Service except as expressly permitted
- Use the Service to develop competing models trained on our proprietary systems
- Interfere with other users' workspaces or platform stability
4. Customer content and license
You retain ownership of content you upload or create ("Customer Content"). You grant ProjectWorks a worldwide, non-exclusive license to host, copy, process, transmit, and display Customer Content solely to provide and improve the Service, including AI processing as described in our Privacy Policy.
You represent that you have all rights necessary to submit Customer Content and that its use through the Service will not violate law or third-party rights.
5. AI-generated outputs
The Service may generate drafts, plans, reports, schedules, and recommendations using artificial intelligence. Outputs are provided for assistance only and are not professional engineering, legal, financial, or safety advice. You must:
- Review all AI outputs before use in contracts, submissions, or field execution
- Maintain human oversight for regulated or safety-critical decisions
- Not represent AI outputs as guaranteed accurate without independent verification
ProjectWorks does not warrant that AI outputs are error-free, complete, or fit for a particular purpose.
6. Subscription, billing, and trials
- Paid plans bill in advance on a monthly or annual cycle unless otherwise stated.
- Prices may change with notice; changes apply on renewal unless your order form says otherwise.
- You may cancel before renewal through account settings or by contacting support.
- Fees are non-refundable except where required by law or explicitly stated in an order form. Downgrades take effect at the next billing period.
- Free trials convert to paid plans unless canceled before the trial ends.
7. Intellectual property
ProjectWorks and its licensors own the Service, software, branding, documentation, and all related intellectual property. Except for the limited rights expressly granted, no rights are transferred to you. Feedback you provide may be used to improve the Service without obligation to you.
8. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only for purposes of the relationship. Enterprise customers may execute a mutual NDA. Our treatment of workspace data is described in the Privacy Policy and Data Handling page.
9. Third-party services
The Service integrates with third-party identity, payment, storage, and AI providers. Your use of those services may be subject to their terms. We are not responsible for third-party services outside our reasonable control.
10. Suspension and termination
We may suspend or terminate access for material breach, non-payment, security risk, or legal requirement. You may terminate at any time by closing your account. Upon termination, your right to access the Service ceases. Provisions that by nature should survive (intellectual property, disclaimers, limitations of liability, governing law) will survive.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROJECTWORKS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS ARISING FROM THE SERVICE IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THAT PERIOD OR (B) ONE HUNDRED US DOLLARS (USD $100), EXCEPT WHERE LIABILITY CANNOT BE LIMITED BY LAW.
13. Indemnification
You will defend and indemnify ProjectWorks against claims arising from your Customer Content, your breach of these Terms, or your violation of law, except to the extent caused by our gross negligence or willful misconduct.
14. Governing law
These Terms are governed by the laws of the State of Delaware, USA, excluding conflict-of-law rules, unless mandatory local law requires otherwise. Courts in Delaware shall have exclusive jurisdiction for disputes, except that either party may seek injunctive relief in any competent court. Enterprise order forms may specify alternate governing law.
15. Changes
We may modify these Terms by posting an updated version. Material changes will be notified via the Service or email where practicable. Continued use after the effective date constitutes acceptance.
